The complete legal agreement governing your use of the Cre8Afrika platform, fellowship, courses, and all related services.

Introduction & Acceptance of Terms
Welcome to Cre8Afrika (the "Platform"), operated by Estyne International Limited ("Estyne," "we," "us," or "our"), a company incorporated under the laws of the Federal Republic of Nigeria. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Estyne International Limited, governing your access to and use of the Cre8Afrika website (cre8afrika.com), mobile applications, learning management system (LMS), fellowship programs, alumni ecosystem, talent hiring portal, and all related services (collectively, the "Services").
By creating an account, enrolling in a course, applying for the fellowship, submitting a hire request, or otherwise accessing or using any part of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with any provision of these Terms, you must immediately discontinue use of the Platform.
We reserve the right to update or modify these Terms at any time, with or without prior notice. While we may communicate material changes via email or an in-platform notification, it is your responsibility to review these Terms periodically. Your continued use of the Services after any changes constitutes acceptance of the revised Terms.
Definitions
For the purposes of these Terms, the following definitions apply:
• "Estyne International Limited" (or "Estyne") refers to the registered company that owns, operates, and administers the Cre8Afrika platform and all associated services.
• "Cre8Afrika" (or the "Platform") refers to the digital platform, website, and brand through which Estyne International Limited delivers its fellowship, LMS, talent hiring, and alumni ecosystem services.
• "Fellowship" refers to the Cre8Afrika Software Engineering Fellowship, an intensive 8-week technical incubator program operated in cohort cycles.
• "Cohort" refers to a specific intake group for the Fellowship, identified by a unique name and defined start/end dates.
• "Fellow" (or "Student") refers to a User who has been accepted into and is actively participating in a Fellowship Cohort.
• "Alumni" refers to a User who has successfully graduated from the Fellowship.
• "Applicant" refers to a User who has submitted an application for a Fellowship Cohort.
• "Investor" refers to a User who has financially invested in an Alumni Product.
• "LMS" refers to our Learning Management System, which hosts courses, learning pathways, modules, and lessons.
• "Subscription" refers to a time-based access plan (Daily, Weekly, Monthly, or Yearly) that unlocks full course content on the LMS.
• "Alumni Product" refers to a software product built during the Fellowship's Product Build phase that has graduated to Alumni status with active revenue sharing.
• "Hire Request" refers to a submission by an external partner or company seeking to engage Cre8Afrika talent.
• "Content" refers to all materials, including but not limited to text, code, videos, assessments, and documentation, provided through the Platform.
Eligibility & Account Registration
3.1 Age Requirement. You must be at least 18 years of age to create an account and use the Services. By registering, you represent and warrant that you meet this age requirement.
3.2 Account Creation. To access certain Services, you must register for an account by providing accurate, complete, and current information, including your full name and a valid email address. You will receive a unique identifier for platform references.
3.3 Account Security. You are solely responsible for maintaining the confidentiality of your account credentials, including your password and any two-factor authentication (2FA) secrets. You agree to immediately notify us of any unauthorised access to or use of your account. Cre8Afrika shall not be liable for any loss or damage arising from your failure to safeguard your credentials.
3.4 Two-Factor Authentication. We offer optional two-factor authentication (2FA) via authenticator apps (e.g., Google Authenticator). When enabled, you will receive single-use recovery codes. It is your responsibility to store these codes securely. Lost recovery codes may result in permanent loss of account access.
3.5 One Account Per User. Each individual may maintain only one active account. Creating multiple accounts to circumvent restrictions, exploit promotions, or game the system is strictly prohibited and grounds for immediate termination.
3.6 Account Roles. Your account may be assigned one of the following roles based on your engagement with the Platform: Super Admin, Admin, Student (Fellow), Applicant, Alumni, or Investor. Each role carries specific permissions and access levels as determined by Cre8Afrika.
The Fellowship Program
4.1 Program Structure. The Cre8Afrika Fellowship is an intensive 8-week technical incubator divided into two phases: — Phase 1 (Weeks 1–4): Individual Core Engineering — focusing on modern architecture, fullstack mastery, database engineering, and cloud/IoT systems. Weekly assessments are conducted every Saturday with automated grading on Sundays. — Phase 2 (Weeks 5–8): Product Build — survivors are grouped into teams to brainstorm, architect, and launch a production-ready MVP, culminating in Demo Day.
4.2 Application & Selection. Fellowship applications are processed through our automated selection engine. The selection pipeline consists of: Application Submission → Technical Assessment → Score Validation → Interview → Offer → Launch. Acceptance rates are historically below 5%.
4.3 Application Fee. A non-refundable application fee is required after completing the initial technical test to process your assessment and secure an interview slot. A new application fee is required for each Cohort you apply to.
4.4 Assessment Protocol. Upon unlocking the technical assessment, you will have a defined time window to complete it. Your assessment is tracked with timestamps. Scores are computed from individual rubric items and stored as a total assessment score. Submitting plagiarised, fraudulent, or AI-generated work (unless explicitly permitted) will result in immediate disqualification.
4.5 Elimination & Progression. The Fellowship operates on a survival model. Fellows are evaluated and promoted on a week-by-week basis. Failure to meet weekly benchmarks results in elimination. Eliminated Fellows lose access to Fellowship-specific resources but retain their general platform account.
4.6 Graduation. Fellows who successfully complete all 8 weeks and Demo Day will be granted "graduated" status and elevated to the Alumni role. Graduation grants lifelong access to the Alumni Network, the Founder's Lounge (private community), and the hiring pipeline.
4.7 Community Access. Applying for the Fellowship grants you access to the Cre8Afrika Campus, our exclusive Discord community, for the duration of your application cycle. Continued access post-rejection is at our discretion.
4.8 No Employment Relationship. The Fellowship is an educational and incubation program, NOT an employment arrangement. Fellows are independent participants and are not employees, contractors, agents, or partners of Estyne International Limited or Cre8Afrika. Participation in the Fellowship does not create any employment, agency, partnership, or joint venture relationship. Fellows are not entitled to wages, salaries, employee benefits, insurance, pension contributions, or any other form of employment compensation. Any revenue generated through Alumni Products is governed solely by the Revenue Sharing model in Section 7 and does not constitute salary or employment income from Estyne.
4.9 No Partnership or Joint Venture. Nothing in these Terms or in the operation of the Fellowship, including the Product Build phase and Alumni Product ecosystem, shall be construed as creating a partnership, joint venture, or agency relationship between you and Estyne International Limited. Each party acts independently, and neither party has the authority to bind or obligate the other.
Learning Management System (LMS) & Courses
5.1 Course Structure. The LMS provides structured educational content organised into Learning Pathways, Courses, Modules, and Lessons. Each course contains multiple modules, and each module contains sequential lessons.
5.2 Free Access. The first module of every course is available free of charge as a lead magnet. This allows you to evaluate our teaching methodology before committing financially.
5.3 Subscription Access. To unlock content beyond the free module, you must hold an active Subscription. We offer four subscription tiers: Daily, Weekly, Monthly, and Yearly. An active subscription grants unlimited access to all courses and interactive environments on the Platform for the selected period.
5.4 Course Purchases. Alternatively, individual courses may be purchased for lifetime access. Paid courses are marked in your enrollment record with a payment timestamp.
5.5 Certificates. Upon completing all courses within a Learning Pathway, you are eligible for a verifiable digital certificate. Each certificate is assigned a unique certificate code and may include a QR code for third-party verification. Certificates are non-transferable and are issued to the account holder only.
5.6 Certificate Disclaimer. Certificates issued by Cre8Afrika are internal records of course completion on our Platform. They do NOT constitute professional certification, academic accreditation, or government-recognised qualifications. Cre8Afrika is not an accredited educational institution, and our certificates should not be represented as equivalent to degrees, diplomas, or professional licences issued by accredited bodies. Employers and third parties verify certificates at their own discretion.
5.7 No Professional Advice. All course content, tutorials, code examples, and educational materials provided through the LMS are for informational and educational purposes only. They do NOT constitute professional, legal, financial, medical, or engineering advice. You are solely responsible for evaluating the suitability, accuracy, and applicability of any techniques, code, or practices learned through the Platform before applying them in professional, production, or commercial environments. Estyne International Limited disclaims all liability for any damages, losses, or consequences arising from the application of knowledge or skills acquired through the Platform.
5.8 Progress Tracking. The Platform tracks your lesson-by-lesson progress. You may resume learning from your last completed lesson at any time.
5.9 Content Updates. We reserve the right to update, modify, or remove course content at any time without prior notice. While we strive to maintain accuracy and relevance, we do not guarantee that all content will remain available indefinitely.
Payments, Billing & Subscriptions
6.1 Payment Processing. All payments on the Platform are processed through Flutterwave, our third-party payment provider. We accept major credit and debit cards. By making a payment, you agree to Flutterwave's terms of service in addition to these Terms.
6.2 Payment Types. The Platform processes three categories of payments: — Application Fees: Non-refundable fees associated with Fellowship applications. — Tuition: Fees for Fellowship participation or course purchases. — Subscriptions: Recurring or one-time charges for time-based LMS access.
6.3 Currency. Payments are processed in the currency displayed at checkout (e.g., USD, NGN). Exchange rates and conversion fees are determined by your financial institution and Flutterwave.
6.4 Recurring Billing. Subscription plans with auto-renewal enabled will automatically charge your stored payment method at the start of each billing cycle. Card details (token, BIN, last 4 digits, brand, and issuer) are securely stored by Flutterwave. You may toggle auto-renewal on or off at any time from your Billing dashboard.
6.5 Failed Payments. If a recurring charge fails, your subscription will not be renewed, and access to premium content will be suspended until a successful payment is processed.
6.6 Refund Policy. Application fees are non-refundable, as they cover the cost of manual assessment review and processing. Subscription payments may be eligible for a pro-rata refund if requested within 48 hours of the charge and no premium content has been accessed during the current billing period. Tuition refunds are evaluated on a case-by-case basis. Nothing in this refund policy is intended to limit or exclude any statutory rights you may have under the Federal Competition and Consumer Protection Act (FCCPA) 2018 or other applicable consumer protection legislation. To request a refund, contact support@cre8afrika.com.
6.7 Price Changes. We reserve the right to modify pricing for subscriptions, courses, and application fees at any time. Active subscribers will be notified at least 14 days before a price change takes effect on their next billing cycle.
Revenue Sharing & Alumni Products
7.1 The Shared Prosperity Model. Products built during the Fellowship's Product Build phase that demonstrate viability may be elevated to "Alumni Product" status. Alumni Products operate under our transparent revenue sharing framework.
7.2 Revenue Split. Unless otherwise agreed in writing, the default revenue distribution for Alumni Products is: — 20% to Cre8Afrika (Platform and hosting fee) — 20% to Reinvestment (Marketing, operations, and product expenses) — 20% to Investors (For external parties who fund growth) — 40% to the Alumni Team (Distributed based on activity points)
7.3 Activity-Based Points. The Alumni Team's 40% share is distributed dynamically each month based on individual activity logs. Contributors who actively participate through code contributions, marketing efforts, management, or other measurable activities earn a proportionally larger share of dividends.
7.4 Equity & Roles. Each Alumni Product stakeholder is assigned a role (Lead, Finance, Marketing, Developer, Member, Investor, Platform, or Reinvestment) and a corresponding equity percentage. Alumni roles (Lead, Finance, Marketing) may be dynamically reassigned on a monthly basis based on contribution levels.
7.5 Withdrawals. Stakeholders may request withdrawal of their earned dividends. Withdrawals are categorised by source (team dividend, investor dividend, platform dividend, or product reinvestment). All withdrawal requests require administrative approval and must include valid banking/transfer information. Cre8Afrika reserves the right to reject withdrawal requests that do not comply with applicable financial regulations.
7.6 Product Governance. Cre8Afrika retains administrative oversight of all Alumni Products. Revenue sharing percentages may only be modified with reasonable justification and with thirty (30) days' prior written notice to affected stakeholders, unless the modification is required by law or regulation. Roles may be reassigned based on documented contribution metrics. Cre8Afrika may deactivate a product if it violates these Terms, applicable law, or poses reputational risk to the Platform.
7.7 Tax Responsibility. Each stakeholder is solely responsible for reporting and paying all applicable taxes on dividends, revenue shares, and other income received through the Alumni Product ecosystem. Estyne International Limited may, where required by Nigerian tax law, deduct applicable withholding taxes before disbursing funds. You agree to provide any tax-related documentation (e.g., Tax Identification Number) reasonably requested by Estyne to comply with its legal obligations.
7.8 Anti-Money Laundering (AML) & Know Your Customer (KYC). To comply with applicable anti-money laundering regulations and financial crime prevention laws, Estyne International Limited may require identity verification, source-of-funds documentation, or other KYC information before processing withdrawals or large transactions. We reserve the right to delay, restrict, or refuse transactions that we reasonably suspect may be linked to money laundering, terrorist financing, fraud, or other illegal activities.
7.9 No Partnership. The Revenue Sharing model does not create a partnership, joint venture, or agency relationship between stakeholders and Estyne International Limited. Each stakeholder participates as an independent party. No stakeholder has the authority to enter into agreements, incur liabilities, or make representations on behalf of Estyne International Limited.
7.10 Alumni Product Liability. Estyne International Limited is NOT liable for any defects, errors, data loss, security vulnerabilities, downtime, or any other issues arising from the operation, use, or malfunction of any Alumni Product. Each Alumni Product team is solely responsible for the development, maintenance, compliance, and support of their product. Users of Alumni Products use them entirely at their own risk. Estyne's role is limited to platform administration and revenue distribution. No warranty, express or implied, is provided by Estyne for any Alumni Product.
Talent Hiring Portal
8.1 For Partners & Companies. The Cre8Afrika Hire Talent portal enables external organisations ("Partners") to submit requests for matched, pre-vetted engineering talent from our Alumni network.
8.2 Hire Request Submissions. Partners may submit a Hire Request by providing their company name, work email, required tech stack, and hiring goal. Submissions are confidential and processed by our talent operations team.
8.3 Request Lifecycle. Each Hire Request progresses through the following statuses: Pending → In Review → Contracted or Rejected. We aim to provide initial talent matches within 48 hours of submission.
8.4 No Employment Guarantee. Submitting a Hire Request does not guarantee that a hire will be made. Cre8Afrika acts as a facilitator and talent source. All employment terms, compensation, and contracts are negotiated directly between the Partner and the individual talent.
8.5 Talent Representation. Cre8Afrika makes reasonable efforts to present qualified candidates based on stated requirements. However, we do not warrant or guarantee the performance, reliability, or suitability of any individual talent for a specific role.
8.6 No Background Checks. Cre8Afrika does NOT conduct criminal background checks, credit checks, reference verifications, or employment history verifications on any talent presented through the Platform. Partners are solely responsible for conducting their own due diligence, background screening, and verification of credentials before engaging any talent. Estyne International Limited disclaims all liability for any losses, damages, claims, or liabilities arising from a Partner's failure to conduct appropriate background checks.
8.7 Independent Contractor Status. Alumni and other talent presented through the Hire Talent portal are independent individuals and are NOT employees, agents, or representatives of Estyne International Limited. Estyne assumes no liability for the work product, conduct, or performance of any individual engaged through this portal. All contractual, tax, and legal obligations arising from any engagement are solely between the hiring Partner and the individual talent.
8.8 Non-Circumvention. Partners and companies accessing the Hire Talent portal agree that for a period of twelve (12) months following the date they are first introduced to an Alum or Fellow through the Platform, they shall NOT solicit, engage, or hire such individual directly or through any third party without processing the engagement through Cre8Afrika or paying the applicable platform placement fee. Any attempt to circumvent the Platform's talent matching process shall constitute a material breach of these Terms, and Estyne International Limited reserves the right to seek damages equivalent to the lost placement fee plus legal costs.
Job Board & Career Services
9.1 Job Listings. Cre8Afrika may post job opportunities from internal and external sources on the Platform. Job listings include details such as title, company, location, type (full-time, part-time, contract, internship, remote), category (engineering, design, marketing, product), description, requirements, benefits, and salary range.
9.2 Job Applications. Eligible Users, particularly Alumni, may apply to listed positions directly through the Platform. By applying, you consent to sharing your profile information (name, email, bio, experience level, portfolio links) with the hiring organisation.
9.3 No Guarantee of Employment. Cre8Afrika is not an employment agency. We provide access to opportunities but do not guarantee interviews, offers, or employment outcomes. All hiring decisions are at the sole discretion of the respective employers.
9.4 Listing Accuracy. While we strive to ensure job listings are accurate and current, we do not guarantee the availability, accuracy, or completeness of any listed position. Listings may expire or be removed without notice.
User Conduct & Acceptable Use
10.1 General Conduct. You agree to use the Platform responsibly and in accordance with all applicable local, national, and international laws. You shall not engage in any activity that disrupts, damages, or impairs the Platform or its Services.
10.2 Prohibited Activities. The following activities are strictly prohibited: — Submitting false, misleading, or fraudulent information during registration, application, or any other process. — Sharing, distributing, or reselling course content, assessment materials, or any proprietary Platform content without explicit written permission. — Using automated tools, bots, scrapers, or other software to access the Platform or extract data. — Attempting to reverse-engineer, decompile, or disassemble any part of the Platform's software or infrastructure. — Harassing, threatening, or discriminating against other Users, staff, or community members. — Submitting plagiarised or AI-generated work in assessments or fellowship submissions unless explicitly permitted. — Creating multiple accounts or impersonating another individual. — Interfering with security features, including authentication mechanisms, access controls, or encryption protocols.
10.3 Community Standards. Participation in our Discord community, alumni networks, and any Cre8Afrika-associated channels is subject to our Community Guidelines. Violations may result in temporary muting, permanent bans, or account termination at our sole discretion.
10.4 Reporting Violations. If you become aware of any violation of these Terms, please report it immediately to support@cre8afrika.com.
Intellectual Property Rights
11.1 Platform IP. All content, materials, trademarks, logos, designs, code, curricula, assessments, and documentation provided through the Platform are the exclusive property of Cre8Afrika or its licensors and are protected by applicable intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works from any Platform content without prior written consent.
11.2 User-Generated Content. By submitting content to the Platform — including but not limited to fellowship project submissions, assessment responses, profile information, and community posts — you grant Cre8Afrika a non-exclusive, worldwide, royalty-free, perpetual licence to use, display, reproduce, and distribute such content for the purposes of operating and promoting the Platform.
11.3 User Content Warranty. You represent and warrant that any content you submit to the Platform: (a) is your original work or you have all necessary rights, licences, and permissions to submit it; (b) does not infringe, misappropriate, or violate any third party's intellectual property rights, privacy rights, or other legal rights; (c) does not contain defamatory, obscene, unlawful, or harmful material; and (d) does not contain malicious code, viruses, or harmful components. You shall be solely liable for any claims arising from content you submit, and you agree to indemnify Estyne International Limited for any third-party claims resulting from your content.
11.4 Alumni Product IP Ownership. You acknowledge and agree that Estyne International Limited is the original and sole owner of all intellectual property, including but not limited to source code, architecture, algorithms, designs, product names, documentation, and platform-integrated assets, created or developed during the Fellowship's Product Build phase ("Alumni Product IP"). All such work is considered work-for-hire to the maximum extent permitted by law. Estyne grants the Alumni Team a limited, non-exclusive, revocable licence to operate the Alumni Product and participate in the Revenue Sharing model described in Section 7. This licence does not constitute a transfer of ownership. Any full transfer of IP rights to an Alumni Team, spin-off entity, or third-party investor requires a separate, formal written agreement signed by an authorised representative of Estyne International Limited.
11.5 Open Source. Certain tools, libraries, or projects developed under Cre8Afrika's umbrella may be released under open-source licences at Estyne's sole discretion. In such cases, the specific open-source licence terms will govern your use of those materials.
11.6 Feedback Licence. We welcome your feedback, comments, and suggestions for improvements to the Platform ("Feedback"). By submitting Feedback, you grant Estyne International Limited a non-exclusive, worldwide, perpetual, irrevocable, fully-paid, royalty-free, sub-licensable, and transferable licence to use, copy, modify, create derivative works based upon, and otherwise exploit the Feedback for any purpose, without any obligation to compensate you or provide credit.
11.7 Publicity Release. By participating in the Fellowship, graduating as an Alum, or built an Alumni Product, you grant Estyne International Limited the right to use your name, likeness, photograph, voice, professional biography, and project details (including "Demo Day" recordings and product screenshots) for promotional, marketing, and publicity purposes across all media channels, including our website, social media, and press releases. You waive any right to royalties, compensation, or inspection of the final promotional materials. If you wish to opt out of this release for specific reasons (e.g., privacy/security), you must notify support@cre8afrika.com in writing.
11.8 Pre-existing Intellectual Property. If you utilise any intellectual property that you owned or licensed prior to joining the Fellowship ("Pre-existing IP") in the development of an Alumni Product, you retain ownership of such Pre-existing IP. However, by incorporating it into a project on the Platform, you grant Estyne International Limited a non-exclusive, worldwide, perpetual, royalty-free licence to use such Pre-existing IP as part of the Alumni Product. Furthermore, you acknowledge that Estyne International Limited shall be the sole and exclusive owner of all modifications, enhancements, derivative works, and platform-integrated features developed during or as part of the Fellowship ("Fellowship Improvements"), regardless of whether they are based on your Pre-existing IP.
Privacy & Data Protection
12.1 Data Collection. We collect personal information necessary to provide our Services, including but not limited to: name, email address, profile details (bio, avatar, experience level, social links), payment information, assessment scores, progress data, and notification preferences.
12.2 Data Use. Your data is used to operate the Platform, process payments, track your learning progress, communicate important updates, match talent with hiring partners, and improve our Services. We do not sell your personal data to third parties.
12.3 Data Storage & Security. All data is stored securely using industry-standard encryption and access controls. Payment card tokens and sensitive financial data are stored by Flutterwave, not directly on our servers.
12.4 Notification Preferences. You may control your notification preferences through your profile settings, including toggling alerts for general updates, new courses, job alerts, and fellowship updates.
12.5 Account Deletion. You may request account deletion at any time by contacting support@cre8afrika.com. Upon deletion, your account will be deactivated and personal data removed from public visibility. Certain records are retained as required by law for financial compliance, certificate verification, and equity distribution purposes. All active sessions are immediately invalidated.
12.6 Privacy Policy. For a complete description of our data practices, please review our Privacy Policy, which is incorporated into these Terms by reference.
Notifications & Communications
13.1 Transactional Communications. By creating an account, you consent to receiving essential transactional communications, including payment confirmations, assessment notifications, application status updates, fellowship schedule changes, and security alerts. These communications cannot be opted out of.
13.2 Marketing Communications. We may send promotional emails about new courses, fellowship openings, platform features, and community events. You may opt out of marketing communications at any time through your profile notification settings.
13.3 In-Platform Notifications. The Platform delivers real-time notifications for critical events such as application status changes, assessment results, payment confirmations, and administrative messages. These are accessible through your dashboard.
13.4 Communication Channels. Official Cre8Afrika communications are sent from @cre8afrika.com email addresses. We will never ask for your password via email. Be vigilant against phishing attempts.
Third-Party Services & Integrations
14.1 Payment Provider. We use Flutterwave for all payment processing, including card tokenisation for recurring subscriptions. Your use of Flutterwave is subject to their separate terms and privacy policy.
14.2 Cloud Infrastructure. The Platform is hosted on cloud infrastructure providers. While we take reasonable measures to ensure uptime and data security, we are not liable for outages or data loss caused by third-party infrastructure failures.
14.3 External Links. The Platform may contain links to third-party websites, tools, or services (e.g., GitHub, Google Meet for interviews, Discord). We are not responsible for the content, policies, or practices of these external services.
14.4 Google Meet. Fellowship interview scheduling may utilise Google Meet. Interview links are generated and shared through the Platform. Your use of Google Meet is governed by Google's terms of service.
14.5 Discord. Our community channels operate on Discord. Membership in the Cre8Afrika Discord server is subject to both Discord's terms of service and our Community Guidelines.
Disclaimers & Limitation of Liability
15.1 "As Is" Provision. The Platform and all Services are provided on an "AS IS" and "AS AVAILABLE" basis. Estyne International Limited makes no warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Platform will operate uninterrupted, error-free, securely, or free of viruses or other harmful components.
15.2 No Guarantee of Outcomes. Cre8Afrika does not guarantee any specific educational outcomes, employment results, revenue from Alumni Products, or return on investment. The Fellowship's survival model means that not all participants will graduate, and not all products will generate revenue.
15.3 Assumption of Risk. You acknowledge and agree that your use of the Platform, participation in the Fellowship, investment in Alumni Products, and engagement with other Users is entirely at your own risk. You voluntarily assume all risks associated with these activities, including but not limited to financial loss, failed projects, career outcomes, and interpersonal disputes.
15.4 Assessment Finality. All assessment scores, fellowship decisions (including acceptance, elimination, and graduation), and administrative determinations are made at the sole and absolute discretion of Cre8Afrika and are final and binding. Estyne International Limited is not required to provide detailed reasoning for any selection, rejection, or elimination decision. The assessment and evaluation process is not subject to judicial or arbitral review except in cases of demonstrable fraud or bad faith by Estyne.
15.5 User Interaction Disclaimer. Cre8Afrika is NOT responsible for the conduct, actions, or omissions of any User, Partner, Investor, Fellow, or Alumni, whether on or off the Platform. This includes interactions in our Discord server, Slack workspace, community events, hiring engagements, and any other communication channels. Estyne International Limited disclaims all liability for disputes, damages, or injuries arising from User-to-User interactions.
15.6 Limitation of Liability. To the maximum extent permitted by applicable law, Estyne International Limited, its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, business opportunities, or anticipated savings, arising from your use of or inability to use the Platform, even if we have been advised of the possibility of such damages. This limitation applies regardless of the legal theory upon which the claim is based (contract, tort, negligence, strict liability, or otherwise).
15.7 Maximum Liability. In no event shall Estyne International Limited's total aggregate liability to you for all claims arising from or related to these Terms or the Platform exceed the lesser of: (a) the total amount you have actually paid to us in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) One Hundred Thousand Naira (₦100,000). This limitation applies collectively to Estyne, its affiliates, directors, officers, employees, and agents.
15.8 Force Majeure. Estyne International Limited shall not be liable for any failure or delay in performing its obligations due to events beyond its reasonable control, including but not limited to natural disasters, pandemics, epidemics, government actions or restrictions, internet or telecommunications outages, power failures, cyber-attacks, acts of terrorism, civil unrest, labour disputes, or supply chain disruptions. During a force majeure event, Estyne's affected obligations are suspended for the duration of the event, and no refund, credit, or compensation shall be due for any resulting service disruption.
15.9 Exclusion Limitations. Nothing in these Terms shall exclude or limit Estyne's liability for: (a) death or personal injury caused by its proven negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under applicable Nigerian law.
15.10 Third-Party Disputes. Any dispute you have with a third-party service provider (including but not limited to Flutterwave, Discord, Slack, or Google) while using the Platform is solely between you and that third party. You hereby release Estyne International Limited from any and all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.
Indemnification
You agree to indemnify, defend, and hold harmless Cre8Afrika, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
— Your use of the Platform or Services; — Your violation of these Terms; — Your violation of any third-party rights, including intellectual property rights; — Any content you submit, post, or transmit through the Platform; — Your participation in the Fellowship, including products built during the Product Build phase; — Your interactions with other Users, Partners, or third parties facilitated through the Platform; — Any Alumni Product you contribute to, including claims by end-users or third parties arising from the product's operation, defects, or non-performance.
This indemnification obligation survives the termination of your account and these Terms. Estyne International Limited reserves the right, at its own cost, to assume the exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with our defence.
Account Suspension & Termination
17.1 Voluntary Termination. You may close your account at any time by contacting support@cre8afrika.com. Upon closure, your access to premium content and fellowship-specific resources will cease immediately. Financial obligations incurred before termination remain enforceable.
17.2 Termination by Cre8Afrika. We reserve the right to suspend, restrict, or permanently terminate your account at any time, with or without notice. Grounds for termination include, but are not limited to: — Violation of these Terms or Community Guidelines; — Fraudulent, abusive, or illegal activity; — Non-payment of fees; — Submission of plagiarised or fraudulent assessment materials; — Harassment or threats directed at staff or community members.
17.3 Effect of Termination. Upon termination: — Your access to the Platform and all Services will be immediately revoked. — If your account is terminated for cause (e.g., violation of Terms), active subscriptions will be cancelled without refund. If terminated without cause, you may be entitled to a pro-rata refund for any unused portion of a prepaid subscription period. — Your profile data will be deactivated but retained as required for compliance, financial audit, and equity distribution purposes. — Certificates previously issued remain verifiable but your account will be flagged as inactive. — Fellowship elimination is considered a form of programme termination and carries the same consequences.
17.4 Survival. Sections relating to Intellectual Property, Indemnification, Limitation of Liability, Dispute Resolution, and any provisions that by their nature should survive, shall survive termination of these Terms.
Dispute Resolution & Governing Law
18.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.
18.2 Informal Resolution. Before initiating any formal dispute resolution, you agree to first contact us at support@cre8afrika.com to attempt to resolve the matter informally. We commit to engaging in good-faith negotiations for a period of at least thirty (30) days.
18.3 Arbitration. If informal resolution fails, any dispute, controversy, or claim arising out of or relating to these Terms shall be settled by binding arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act of Nigeria. The arbitration shall be conducted by a single arbitrator, and the language of proceedings shall be English. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
18.4 Arbitration Costs. Each party shall bear its own legal costs and expenses. The costs of the arbitrator and the arbitration proceedings shall be shared equally between the parties, unless the arbitrator determines otherwise. If you initiate a claim and the arbitrator finds the claim to be frivolous or brought in bad faith, you agree to reimburse Estyne International Limited for all reasonable costs and legal fees incurred in defending against such claim.
18.5 Individual Proceedings & Class Action Waiver. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU EXPRESSLY WAIVE YOUR RIGHT TO PARTICIPATE AS A CLASS REPRESENTATIVE OR CLASS MEMBER IN ANY CLASS-ACTION LAWSUIT, CLASS-WIDE ARBITRATION, OR ANY OTHER CONSOLIDATED LEGAL PROCEEDING. This provision does not limit any rights that cannot be waived under applicable Nigerian law.
18.6 Injunctive Relief. Notwithstanding the foregoing, Cre8Afrika reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our intellectual property rights.
18.7 Time Limitation. You agree that any claim or cause of action arising out of or related to these Terms or the Platform must be filed within one (1) year after the claim arose, or it shall be forever barred. This limitation applies regardless of any statute of limitations that might otherwise apply.
18.8 No Specific Performance. You acknowledge and agree that money damages would be an adequate remedy for any breach of these Terms by Estyne International Limited. You hereby waive any right to seek specific performance, injunctive relief (except as provided in Section 18.6), or any other equitable remedy that would require Estyne to perform any specific act, including but not limited to granting fellowship admission, restoring account access, or continuing the operation of the Platform.
Miscellaneous Provisions
19.1 Entire Agreement. These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Cre8Afrika regarding the use of the Platform and supersede all prior agreements, understandings, and communications.
19.2 Severability. If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
19.3 Waiver. Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision shall be effective only if made in writing and signed by an authorised representative of Cre8Afrika.
19.4 Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Cre8Afrika may assign its rights and obligations without restriction.
19.5 No Third-Party Beneficiaries. These Terms are for the sole benefit of you and Estyne International Limited. Nothing in these Terms shall confer any rights, remedies, or claims on any third party, including but not limited to Partners, Investors, Alumni Product end-users, or any other entity.
19.6 Electronic Communications Consent. By using the Platform, you consent to receiving electronic communications from us, including emails, in-platform notifications, and SMS (where applicable). You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
19.7 Relationship of Parties. Nothing in these Terms shall be construed to create a relationship of employer-employee, principal-agent, partnership, joint venture, or franchisor-franchisee between you and Estyne International Limited. You and Estyne are independent parties, and neither has the power or authority to bind, obligate, or represent the other.
19.8 Headings. The section headings in these Terms are for convenience only and have no legal or contractual effect.
19.9 Reservation of Rights. All rights not expressly granted to you in these Terms are reserved by Estyne International Limited and its licensors.
19.10 Export Controls & Sanctions. You represent and warrant that: (a) you are not located in a country that is subject to a U.S. Government or Nigerian Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (b) you are not listed on any U.S. Government or Nigerian Government list of prohibited or restricted parties. You agree to comply with all applicable export and re-export control laws and regulations.

You agree that, both during and after your use of the Platform or participation in the Fellowship, you shall not make any false, disparaging, or defamatory statements, whether oral or written, regarding Estyne International Limited, Cre8Afrika, its products, services, directors, officers, or employees. This includes statements made on social media, public forums, or to third parties. Nothing in this clause is intended to prevent you from providing honest feedback to us directly or making truthful statements required by law.
